Terms of Service
Effective Date: January 1, 2026. Last Updated: 2026.
1. Acceptance of Terms and Legal Entity
Welcome to showzawonderhive.lifestyle. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "User", or "Visitor") and Showzawonderhive S.r.l., registered with Partita IVA / Codice Fiscale IT-09841280963, REA MI-2541890, having its registered seat at Via Fiori Chiari 18, 20121 Milano (MI), Italy. By accessing this website, requesting a bespoke consultation, or confirming a commercial floral service, you irrevocably agree to be bound by these Terms.
2. Nature of Botanical Commissions & Perishable Material
Clients acknowledge that all floral arrangements, runway installations, and bridal scapes are executed using natural, perishable living botanical specimens. While Showzawonderhive employs elite conditioning methods, stems are inherently subject to natural chromatic variations, seasonal fluctuations, and climatic conditions:
- Botanical Substitution Right: In the event that specific flower varieties become unharvestable due to micro-climatic events or supplier quality failures, Showzawonderhive reserves the unilateral artistic right to substitute cultivars with specimens of equivalent or superior aesthetic value and market investment.
- Perishable Nature & Acceptance: Bouquets and event florals are inspected upon handover. Claims regarding physical defects must be transmitted with photographic evidence within six (6) hours of delivery. Once transferred to room-temperature event venues or outdoor settings, post-delivery degradation resulting from improper watering, excessive heat, or HVAC exposure is the sole responsibility of the Client.
3. Booking Retainers, Cancellation & Postponement
Destination wedding commissions, fashion week runway productions, and private masterclasses require intensive pre-production staging, supplier allocations, and calendar reservation:
- Weddings & Events: A non-refundable artistic retainer fee of 40% of the gross contract value is due upon contract signing to lock the calendar date. An interim installment of 40% is payable 60 days prior to the event, and the remaining 20% balance is due 14 days prior to venue load-in.
- Event Cancellation: If the Client cancels an event less than 90 days before the scheduled date, the initial 40% retainer remains non-refundable. Cancellations made less than 30 days prior require payment of 100% of the contracted gross amount to cover grower commitments and contracted studio labor.
- Masterclasses: Course tuition is refundable up to 21 days before the cohort start date, minus a €50 administrative handling fee. Cancellations inside 21 days forfeit tuition but may transfer the seat to another nominated attendee with prior studio notice.
4. Intellectual Property and Creative Ownership
All creative assets on this website—including floral architectural concepts, digital photography, text copy, graphic identity, elevation sketches, and structural designs—are the exclusive intellectual property of Showzawonderhive S.r.l. and are protected under Italian and international copyright and trademark legislation. No portion of this site or our physical event styling may be replicated for commercial re-use without our explicit written license.
Showzawonderhive retains the absolute, royalty-free worldwide right to capture photographs and video documentation of all floral installations produced for weddings, corporate showrooms, and runway presentations for portfolio, press, and promotional purposes, subject to any pre-agreed non-disclosure agreements (NDAs).
5. Limitation of Liability and Force Majeure
To the maximum extent permitted by applicable Italian law:
- Showzawonderhive S.r.l. shall not be held liable for indirect, incidental, or consequential damages, including loss of event revenue, anticipated profits, or brand disruption arising out of or related to our floral services.
- In all circumstances, our maximum aggregate monetary liability to the Client for any breach of contract shall not exceed the net service fee paid to Showzawonderhive under the specific commission.
- Force Majeure: Neither party shall be liable for non-performance or delay resulting from events beyond reasonable control, including acts of God, extreme meteorological events, transport strikes, venue fires, civil unrest, or Italian municipal traffic closures affecting delivery routes.
6. Client Obligations & Venue Safety
The Client is responsible for ensuring unobstructed vehicular access, secure freight elevator usage, and required municipal unloading permits (ZTL Milano permits) for our delivery vehicles. Where installations require physical anchoring, the Client must secure prior authorization from historical property owners or conservation superintendents. Any damage inflicted upon our vessels, metal pedestals, or kenzans by event guests or venue third parties shall be billed to the Client at replacement cost.
7. Governing Law, Dispute Resolution & Jurisdiction
These Terms, and all commercial disputes arising out of or connected with the services of Showzawonderhive S.r.l., shall be governed exclusively by and construed in accordance with the laws of the Republic of Italy, without regard to conflicts of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
Any dispute, controversy, or claim that cannot be resolved through amicable direct negotiation shall be submitted to the exclusive jurisdiction of the competent Courts of Milan (Foro di Milano), Italy.
